Cloud Server Usage Agreement

1. Scope of Services

• Provision of cloud server access via internet.
• Hosting of billing software on cloud infrastructure.
• Regular backups and system monitoring.
• Basic support services and software updates (if applicable).

2. Term and Termination

• This Agreement shall commence from the date of signing and remain valid for an initial term of 12 months
• The Agreement will auto-renew only payment is done before 15-30 days prior to expiry date.

• Either party may terminate the agreement for material breach with [15 days] notice, if not rectified.

3. Charges and Payment

• The Customer agrees to pay Cloud Charges + Software Charges as above selected version.
• The Customer agrees to pay the Cloud Service Renewal Charges + ProfitNx Renewal Charges shown above for selected version.
• We hold right to change price with 30 days prior notice to customer.
• Payments shall be made in advance before 15-30 days of expiry every year.
• Late payment will attract a reinstate charges of ₹ 1000 plus Taxes after service suspension upto 30 days [Data will be retained in this period].
• After 30 days of service suspension Customer has to purchase the plan as new [Data will not be available].

4. Data Ownership & Access

• All business data entered into the billing software shall remain the sole property of the Customer.
• The Service Provider shall not access, use, or share customer data except for maintenance or as required by law.
• Customer can download entire data anytime during service period & within 10 days of service suspension.

5. Confidentiality

• Both parties shall keep all non-public information confidential and not disclose it to any third party without written consent.

6. Limitation of Liability

• The Service Provider shall not be liable for indirect, incidental, or consequential damages.
• Maximum liability shall be limited to the 25% amount paid by the Customer in the last billing cycle.

7. Maintenance & Downtime

• The Service Provider may carry out scheduled maintenance with prior notice.
• Reasonable efforts will be made to ensure 99% uptime.

8. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of India. Jurisdiction shall lie with the courts of Mehsana [Gujarat].

9. Miscellaneous

• This Agreement constitutes the entire understanding between the parties.
• Any amendment must be in writing and signed by both parties.
